1. Terms of Service: Individual Clients
1.1 Scope of Service
ADS Employment Services LTD (“the Company”) provides strategic career consultancy and employability support. By engaging our services, you (“the Client”) acknowledge that you are purchasing professional expertise and time.
1.2 Investment and Payment
Advance Payment: To secure your placement and resources, full payment is required at the time of booking.
Service Commencement: No consultation, document engineering, or coaching will commence until funds have cleared.
1.3 Cancellation and Refund Policy
The "No Refund" Principle: Once a service has been initiated (e.g., CV drafting has begun or a strategy session has been held), no refunds will be issued.
Client Cancellations: * Cancellations made with more than 72 hours' notice may be rescheduled once at no extra cost.
Cancellations made with less than 72 hours' notice will incur a 65% cancellation fee to cover lost consultant time and preparation. The remaining 35% may be applied as a credit toward a future session.
Company Cancellations: In the unlikely event that the Company must cancel a session, a full refund or immediate priority rescheduling will be offered.
1.4 Confidentiality and Intellectual Property
Privacy: All sessions are strictly confidential.
Consent: No case studies or testimonials will be published without the Client’s explicit written consent.
Property: Any frameworks, "playbooks," or templates provided remain the intellectual property of ADS Employment Services LTD and are for the Client's personal use only.
1.5 Data Protection (GDPR)
The Company complies with all current UK Data Protection regulations. Personal data is stored securely and processed solely for the purpose of delivering the contracted service.
Records are retained for a reasonable period (usually 6 years for tax/legal defence purposes), they are "re-identified or archived" after the service ends.
1.6 Limitation of Liability
ADS Employment Services LTD provides expert guidance based on current market intelligence. However, the Company does not guarantee employment or specific salary outcomes. The final responsibility for application accuracy, interview performance, and career decisions rests solely with the Client. To the maximum extent permitted by law, the Company’s liability is limited to the total fee paid for the service.
2. Terms of Service: Employers & Institutional Workshops
2.1 Engagement and Project Scope
These terms apply to all Outplacement Services and Institutional Workshops (the "Project"). A formal Purchase Order (PO) or signed Service Agreement is required before any Project dates are finalised.
2.2 Payment Terms (The "Strict" Clause)
Standard Terms: Invoices are issued upon booking or as per the agreed milestone schedule. All invoices are due for payment within 30 days (Net 30) of the invoice date.
Late Payment Interest: ADS Employment Services LTD reserves the statutory right to charge interest on late payments under the Late Payment of Commercial Debts (Interest) Act 1998. Interest will be charged at 8% plus the Bank of England base rate, calculated daily from the date the payment became overdue.
Debt Recovery: The Client will be responsible for all reasonable costs incurred by the Company in recovering overdue payments, including legal fees and administrative costs.
2.3 Workshop Cancellations and Rescheduling
Notice Period: Workshops involve significant resource allocation.
Cancellations > 14 days: 50% of the total project fee is non-refundable.
Cancellations < 14 days: 100% of the total project fee is due.
Rescheduling: One request to reschedule is permitted with at least 14 days' notice, subject to a 15% administrative surcharge.
2.4 Outplacement Volume Commitments
Redundancy Support: Where volume discounts have been applied (e.g., 5+ employees), the discount is contingent on the total number of referrals. If the volume drops below the threshold, ADS reserves the right to re-invoice at the standard rate.
2.5 Intellectual Property & License to Use
All workshop materials, "The ADS Playbook," and proprietary frameworks remain the sole intellectual property of ADS Employment Services LTD. The Client is granted a limited, non-transferable license to provide these materials to contracted participants only. Mass reproduction or internal training of non-participating staff is strictly prohibited.
3. General Liability & Professional Indemnity
(Applicable to all Services)
Professional Indemnity: ADS Employment Services LTD maintains Professional Indemnity insurance. Our total liability for any claim arising out of the Project shall not exceed the total fees paid by the Client for that specific project.
Force Majeure: Neither party shall be liable for failure to perform obligations if such failure results from circumstances beyond their reasonable control (e.g., pandemic, strike, or national emergency).
